What the certificate says

  • Who it is for, and the relationship it covers: the employment, the loan account, the tenancy, the flat or the course
  • That no dues are outstanding, as on a stated date
  • For an employee: the dates of service, that company property has been returned, and when the full and final settlement was made
  • For a loan: the kind of loan, the account number, when it was sanctioned and when it was closed
  • For a tenant: the premises, the tenancy dates, rent and utilities paid up to a date, and the deposit refunded
  • For a society or a student: the flat, or the course, roll number and session
  • Optionally: a table for each department to sign, and an address for the certificate

Clear it department by department

The certificate is only as good as the checks behind it. Before signing for an employee, ask each department that could be owed something: the reporting manager for handover, IT for the laptop and access, administration for the ID card and keys, accounts for advances and loans, HR for notice and leave. The sign-off table puts each of those on the page, so the certificate shows who checked what.

Give a date, not just “no dues”

“No dues” is true only as on a day. The certificate says as on which date, and you can choose it under ‘No dues as on’; left empty, it is the date of the letter. If something can still fall due later, such as a society’s next maintenance bill, the date makes clear what the certificate covers.

An employee leaving also gets the relieving letter, the experience letter and the full and final settlement. A landlord can give rent receipts for each month, and an NOC when a tenant needs one.

Questions people ask

What is a no dues certificate?

A signed statement from the party that could be owed money, saying that nothing is outstanding as on a date. An employer gives it to someone leaving, a lender to a borrower who has repaid, a landlord to a tenant, a housing society to a flat owner who is selling, and a school or college to a student who is leaving. In Hindi it is called अदेयता प्रमाण पत्र, or simply नो ड्यूज़ सर्टिफ़िकेट.

Who issues an employee's no dues certificate, and when?

The employer, usually HR, once the employee's departments have confirmed that nothing is pending: the laptop and ID card returned, advances recovered, accounts settled. Many offices run it as a clearance form that each department signs, then issue the certificate itself. This format does both: the certificate, with an optional table for each department to sign.

Can my employer hold back my salary until I get a no dues certificate?

Section 17(2) of the Code on Wages, 2019 says that where an employee resigns, among other cases, the wages payable must be paid within two working days of that event. That rule covers wages; gratuity and provident fund run on their own timelines. Our guide to what to collect when you leave a job explains both, and what to do when something does not arrive.

I have repaid a loan. What should I get from the lender?

A no dues certificate, or a loan closure letter, saying the account is closed and nothing is outstanding, and your original property documents if you pledged any. RBI's responsible lending conduct rules, first issued by circular on 13 September 2023, ask banks, NBFCs and other regulated lenders to return the original documents and remove any registered charge within 30 days of full repayment of a personal loan, and to compensate the borrower ₹5,000 for each day of delay that is the lender's fault. A bank usually issues its own certificate; this format is for any lender, and for keeping the wording in front of you when you ask.

Why does a housing society's no dues certificate matter?

A flat owner who is selling, or taking a loan against the flat, is usually asked to show that the maintenance and other charges due to the society are paid. The society's no dues certificate says so, for the flat, as on a date.

What should a no dues certificate say?

Who it is for, and the relationship it covers: the employment, the loan account, the tenancy, the flat or the course. Then that no dues are outstanding as on a stated date. Add what is useful to the reader, such as company property returned, the settlement date, rent paid up to a month, or the deposit refunded. It is signed by someone authorised, on letterhead.

Can the certificate be in Hindi?

Yes. Switch Document language to हिंदी above the preview. The heading becomes जिससे भी संबंधित हो and the certificate अदेयता प्रमाण पत्र, and the wording reads the same whoever it is for. The usual departments in the sign-off table change to Hindi too.

Can I download it in Word, or get a blank format?

Yes. Press Word (.docx) above the preview for an editable file, or 'Blank format' for one to fill in by hand. The blank is an employee's certificate with the department sign-off table, the form most offices print. The blank PDF and Word files are also linked at the top of this page.
